Terms of Service

Effective 16 September 2026

These terms govern your use of Amazi. They are written to be read — plain sentences, no defined term you have to hunt for twice.

00Preamble

PRIME ORGANIC OÜ, a company registered in Estonia under registry code 16974721, VAT number EE102737909, with its registered office at Ehitajate tee 110, 13517 Tallinn, Estonia (“Amazi”, “we”, “us”), operates Amazi — a hosted platform on which business teams describe what they need in plain language and get working internal tools, client portals, AI agents and automations, built on their own data (the “Platform”).

These Terms of Service (the “Terms”) govern your access to and use of the Platform and of everything you build with it. By creating an account, or by using the Platform in any other way, you accept them. If you accept them on behalf of a company, you confirm you are authorised to bind that company, and “you” means the company.

01Who may use Amazi

1.1 A business product. Amazi is offered for professional and business use only. We do not offer it to consumers, and the consumer rules on distance contracts do not apply to your use. We may ask you to confirm that you are acting in a business capacity.

1.2 An account is required. You create one by giving a valid email address and confirming it. What you enter when you register must be accurate, and you must keep it current.

1.3 When the contract starts. The contract between us takes effect when we confirm your registration or open access to your account, whichever comes first. We may decline a registration.

1.4 Your own terms do not apply. Your purchasing terms or standard conditions form no part of this contract unless we have accepted them in writing.

02What we provide

2.1 The Platform. For as long as your contract runs, we give you access over the internet to the Platform and to the features included in your plan. The description of each plan on our pricing page defines what you have bought; features outside it are not owed to you.

2.2 Availability. We aim to keep the Platform available continuously, and target 99% availability measured across a calendar year. Planned maintenance does not count against that target, and neither do disruptions outside our reasonable control — failures at infrastructure suppliers, denial-of-service attacks, strikes, natural events, acts of public authorities and comparable force majeure. We announce planned maintenance ahead of time where we reasonably can, and may perform urgent maintenance without notice where security or data integrity requires it.

2.3 Backups. We back up Platform data regularly and keep those copies on a rolling cycle. Backups exist to recover the Platform as a whole. They are not a substitute for your own copies, we do not check them record by record, and we do not owe you restoration of individual items. See clause 3.5.

2.4 Changes to the Platform. We develop the Platform continuously and may add, change or retire features. Where a change would materially reduce functionality you rely on, we will tell you by email at least 30 days before it takes effect. Adding features needs no notice. New capabilities may be offered as paid add-ons, and something offered free today does not have to stay free.

2.5 AI features. Parts of the Platform use AI models, including models operated by third-party providers, to turn your instructions into applications, content and automations. What you send is your “Input”; what comes back is the “Output”.

  • You keep all rights in your Input. As between you and us — and so far as anyone can own it at all — the Output is yours.
  • Output is generated automatically and is not guaranteed to be unique. Similar instructions from other customers may produce similar or identical results.
  • AI output can be wrong, incomplete or misleading. You are responsible for checking it before you rely on it, publish it, or put it in front of your own customers. AI features are provided as they are.
  • Your data reaches a model provider only when you use a feature that calls one.

2.6 Subcontractors. We may use subcontractors and infrastructure providers to deliver the Platform. We remain responsible to you for their performance.

03Your side of the deal

3.1 What you provide. Internet access, devices and an up-to-date browser are yours to arrange. Some features work only together with third-party services you hold an account with — a CRM, a database, a spreadsheet, a model provider. Where that is so, the Platform says so before you connect.

3.2 Your content. Everything you or your users upload, connect, generate or publish through the Platform is “Your Content” and it remains yours. You are responsible for holding the rights to it, for its accuracy and legality, and for the legality of whatever you build with it. We do not monitor Your Content.

3.3 Acceptable use. You will not use the Platform to:

  • break the law, or help anyone else to;
  • infringe anyone’s intellectual property, privacy or personality rights;
  • build or distribute malware, or attack, probe or overload our systems or anyone else’s;
  • send unsolicited bulk messages;
  • publish content that is hateful, discriminatory, defamatory, abusive or sexually exploitative;
  • run fraudulent, deceptive or misleading schemes;
  • pass AI output off as human-made where doing so would mislead someone in a way that matters to them;
  • circumvent security, authentication, rate limits or plan limits, or resell or share your access beyond what your plan allows.

3.4 Account security. Keep your credentials safe, give them only to people who need them, and hold your team to the same. Write to team@amazi.ai as soon as you suspect anyone else has obtained them. Until you tell us, what happens under your account is your responsibility.

3.5 Your own continuity. Keep your own backups of anything important, and, so far as is reasonable for you, arrange your operations so that an interruption to the Platform does not stop your business.

3.6 Suspension. We may suspend your access, or take down particular content or applications, where:

  • there are concrete indications that your credentials are being misused or shared beyond your plan;
  • there are concrete indications that content or an application breaks the law or these Terms;
  • a court or public authority requires it;
  • it is technically necessary, including to protect the Platform or other customers;
  • payment is more than 14 days overdue; or
  • your contact or payment details are wrong and we can no longer reach you.

Unless advance notice would defeat the purpose of the suspension or is impossible, we will tell you at least one working day beforehand and, where the cause can be put right, give you the opportunity to put it right.

04Rights in the Platform and your work

4.1 Your licence to use Amazi. For the term of your contract we grant you a non-exclusive, worldwide, non-transferable and non-sublicensable right to use the Platform for your own business purposes as described in these Terms.

4.2 What stays ours. The Platform itself and everything in it that we made — software, design, documentation — remains ours or our licensors’. You receive no rights beyond clause 4.1 and no right to our source code. Third-party and open-source components carry their own licences where we identify them.

4.3 What stays yours. You keep all rights in Your Content and in the applications you build. You grant us a non-exclusive, worldwide, royalty-free licence to host, copy, transmit, display and process Your Content — including passing it to the subcontractors and model providers involved — strictly as needed to run the Platform for you, keep it secure and meet our legal obligations. The licence ends when the content is deleted, save for copies in routine backups until those expire.

4.4 Aggregated statistics. We may use anonymous, aggregated statistics about how the Platform is used to operate and improve it. Such statistics identify neither you, nor your users, nor your customers.

4.5 Feedback. If you send us suggestions, we may act on them freely and owe you nothing for doing so.

4.6 Using your name. We will not name you or show your logo publicly without your prior written agreement.

05Plans, credits and payment

5.1 Plans. The Platform is offered on a free plan and on paid plans. The plans, prices, credit allowances and billing periods currently offered are set out on our pricing page and form part of these Terms.

5.2 Credits. Work on the Platform — generation in particular — consumes credits from your plan’s allowance, at rates shown in the Platform. Credits belong to the billing period in which they are granted. Unless the plan states otherwise, unused credits do not carry over, and credits have no cash value and are not exchangeable for money.

5.3 Prices and tax. Prices are stated without VAT and other applicable taxes, which are added where due. Business customers elsewhere in the EU are responsible for accounting for VAT under the reverse-charge mechanism where it applies, and for giving us a valid VAT number.

5.4 Billing. Paid plans are billed in advance for the chosen period through our payment provider. By subscribing you authorise us to charge the payment method you supply, for that period and for each renewal.

5.5 Renewal and cancellation. Subscriptions renew automatically for a further period of the same length unless cancelled before the current period ends. You can cancel at any time in your account settings, with effect from the end of the period you have already paid for. Periods that have begun are not refunded, except where the law requires it.

5.6 Price changes. We may change prices for future billing periods, and will tell you by email at least 30 days before a change applies to you. If you do not wish to continue at the new price, cancel before your next renewal.

5.7 Late payment. If a payment fails we may retry it, and may suspend paid features once payment is 14 days overdue, as set out in clause 3.6. Statutory interest on late payment applies.

06Third-party services

6.1 Services you choose. The Platform connects to services you select — CRMs, databases, spreadsheets, messaging tools, model providers and others. Those services are supplied by their own providers on their own terms, and we are not a party to that relationship.

6.2 What connecting means. When you connect a service you authorise us to exchange data with it on your behalf, as far as the connection you configured requires. We are not responsible for a third-party service being unavailable, changing its interfaces or its terms, or for what it does with data you instruct us to send it.

07Data protection

7.1 Data we control. How we handle personal data for which we are the controller — your account and billing data, for instance — is described in our Privacy Policy.

7.2 Data you control. Where we process personal data contained in Your Content, we act as your processor and follow your instructions. Our Data Processing Agreement governs that processing and is available from team@amazi.ai. You remain the controller of that data: you are responsible for having a legal basis for it and for giving the people concerned the information they are owed.

08Warranties and liability

8.1 What we promise. We provide the Platform with reasonable skill and care. Beyond what these Terms expressly promise, and so far as the law allows, the Platform is provided as it is. We do not warrant that it will be uninterrupted or free of defects, that AI output will be accurate or fit for any particular purpose, or that the Platform will meet requirements we have not agreed in writing.

8.2 Unlimited liability. We are liable without limit for damage caused intentionally or through gross negligence, for death or personal injury, and in every other case where mandatory law does not permit liability to be limited.

8.3 Slight negligence. Otherwise we are liable only for breach of an obligation that is essential to this contract and on whose performance you could reasonably rely, and then only for damage that is foreseeable and typical for a contract of this kind.

8.4 Cap. Subject to clause 8.2, our total liability for all claims arising within any twelve-month period is limited to the fees you paid us for the Platform in the twelve months preceding the event giving rise to the claim.

8.5 Excluded loss. Subject to clause 8.2, we are not liable for lost profit, lost business or lost goodwill, nor for loss or corruption of data to the extent that the backups required by clause 3.5 would have prevented it.

8.6 Your indemnity. If a third party brings a claim against us arising from Your Content, from an application you built, or from your use of the Platform in breach of these Terms, you will meet the reasonable costs of defending it and any sums we are ordered to pay — provided we notify you promptly and allow you to take part in the defence.

09Term and termination

9.1 Term. A free account runs until either of us ends it. A paid subscription runs for the period you chose and renews under clause 5.5.

9.2 Termination for cause. Either of us may terminate without notice for good cause. For us, good cause includes a serious or repeated breach of clause 3.3 that you have not remedied after being asked, payment more than 30 days overdue, and the opening of insolvency proceedings.

9.3 Deleting your account. You may delete your account at any time.

9.4 What happens afterwards. Access ends and your applications stop being served. Export what you need before terminating. We keep your data for 30 days after termination so that you can still ask for it, then delete it from live systems; backup copies expire on their normal cycle. Data we are legally required to retain — accounting records, for example — is kept for as long as the law requires and processed for no other purpose.

10Changes to these terms

10.1 When we change them. We may amend these Terms where there is a valid reason — new features, a change in the law, security, or a change in how we deliver the service. We will send the new version to your account email address at least 30 days before it takes effect.

10.2 If you disagree. You may terminate with effect from the date the change would apply to you. Continuing to use the Platform after that date counts as acceptance, and our notice will say so.

11Final provisions

11.1 Governing law. Estonian law applies, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods.

11.2 Jurisdiction. So far as jurisdiction may be agreed, the courts of Tallinn, Estonia have exclusive jurisdiction.

11.3 Transfer. You may not transfer this contract without our written agreement. We may transfer it to a group company or to an acquirer of the relevant business, provided your rights are not reduced.

11.4 Notices. We write to the email address on your account; you write to team@amazi.ai. Keep your address current.

11.5 Severability. If a provision is or becomes invalid, the remainder stays in force and the invalid provision is replaced by the valid one that comes closest to its commercial purpose.

11.6 Entire agreement. These Terms, the plan description applicable to you, the Privacy Policy and, where relevant, the Data Processing Agreement constitute the entire agreement between us on this subject.
